Terms of Service
Last updated: June 1, 2026
These Terms of Service ("Terms") govern your access to and use of the website and the design, branding, and related services (the "Services") provided by Draaft Studio ("Draaft", "we", "us", or "our"). By accessing our website or engaging us for Services, you agree to be bound by these Terms. If you do not agree, please do not use our website or Services.
1. Services
Draaft provides branding, design, and related creative services. The specific scope, deliverables, timeline, and fees for any engagement will be set out in a separate proposal, statement of work, or written agreement (an "Engagement"). In the event of a conflict between these Terms and a signed Engagement, the Engagement will govern.
2. Proposals and Engagements
Proposals are valid for the period stated within them and are not binding until accepted in writing by both parties. Any work requested outside the agreed scope may be subject to additional fees and a revised timeline.
3. Fees and Payment
Fees, payment schedules, and any deposits are specified in each Engagement. Unless otherwise stated, invoices are due within 14 days of the invoice date. Late payments may incur interest and may result in the suspension of work. All fees are exclusive of applicable taxes, which are your responsibility.
4. Client Responsibilities
You agree to:
- provide accurate, complete materials, content, and feedback in a timely manner;
- secure all rights, licences, and permissions for materials you supply to us; and
- designate an authorised representative to review and approve work.
Delays in providing materials or approvals may affect the project timeline and costs.
5. Revisions and Approvals
Each Engagement specifies the number of revision rounds included. Additional revisions, or changes requested after approval of a deliverable, may be billed separately. Deliverables not rejected in writing within the agreed review period will be deemed accepted.
6. Intellectual Property
Upon full payment of all applicable fees, final deliverables created specifically for you under an Engagement will be assigned to you, except for: (a) any pre-existing materials, tools, or know-how owned by Draaft or its licensors, which we retain and license to you for use within the deliverables; and (b) third-party assets, such as fonts or stock imagery, which remain subject to their own licences. Concepts, drafts, and design explorations not selected for final delivery remain the property of Draaft.
7. Portfolio Rights
Unless agreed otherwise in writing, we reserve the right to display and describe work produced for you in our portfolio, case studies, and promotional materials, including after the Engagement ends.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with an Engagement and to use it only for the purposes of performing the Engagement. This obligation does not apply to information that is or becomes public through no fault of the receiving party, or that must be disclosed by law.
9. Warranties and Disclaimers
We provide the Services with reasonable skill and care. Except as expressly stated, the website and Services are provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
10. Limitation of Liability
To the maximum extent permitted by law, Draaft will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data. Our total aggregate liability arising out of or relating to an Engagement will not exceed the total fees paid by you for that Engagement.
11. Indemnification
You agree to indemnify and hold Draaft harmless from any claims, damages, or expenses arising out of materials you provide to us or your use of the deliverables, including any claim that such materials infringe the rights of a third party.
12. Term and Termination
Either party may terminate an Engagement as set out in the relevant agreement, or for material breach that remains uncured after written notice. On termination, you agree to pay for all Services performed and expenses incurred up to the termination date. Provisions that by their nature should survive termination will continue to apply.
13. Governing Law
These Terms and any Engagement are governed by the laws applicable at Draaft's principal place of business, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the competent courts in that location.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the website or Services after changes take effect constitutes acceptance of the revised Terms.
